Terms of Service

Plans are billed monthly or annually in Nigerian Naira. Annual billing receives a 20% discount. Free trials last 14 days and require no card.

Fees are exclusive of VAT, withholding tax, or any other statutory deduction, which Customer remains liable for.

Customer may use the Service to manage matters, draft documents, run AI-assisted research, store privileged content, communicate with clients, and bill engagements. Customer is responsible for the lawful collection and processing of any personal data uploaded to the workspace.

Customer shall not (i) reverse-engineer the Service, (ii) use it to provide a competing legal SaaS, (iii) upload unlawful content, (iv) attempt to extract bulk training data via AI prompts, or (v) circumvent RBAC or audit logging.

CounselAI is a generative tool. Outputs are not legal advice. A qualified human lawyer must review every draft before reliance. Vorynth makes no warranty that an AI output is accurate, up-to-date, or fit for filing. Customer indemnifies Vorynth against any claim arising from unreviewed AI content.

Customer retains all rights, title, and interest in workspace data. Vorynth holds a limited licence to process data solely to provide the Service. Customer may export full data at any time in standard formats (JSON, CSV, PDF).

Vorynth treats all workspace content as privileged and confidential. Vorynth personnel do not access workspace content except (a) at Customer's written request for support, or (b) under a binding court order — in which case Customer is notified before disclosure where lawful.

Vorynth targets 99.9% monthly availability. Enterprise plans receive a contractual SLA with credits. Scheduled maintenance is announced at least 48 hours in advance.

Vorynth may suspend the Service for non-payment after a 14-day grace period or for breach of these Terms. Customer may terminate at any time; pre-paid fees on annual plans are non-refundable except where required by law.

Except for the express commitments in these Terms, the Service is provided "as is". Vorynth's aggregate liability is capped at the fees paid in the 12 months preceding the claim. Nothing limits liability for fraud, gross negligence, or breach of confidentiality.

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved by arbitration seated in Lagos under the Lagos Court of Arbitration Rules, by a sole arbitrator, in English. Either party may seek interim relief from a Lagos State Court.

We may update these Terms with 30 days' notice for material changes. Continued use after the effective date constitutes acceptance.
